Terms and Conditions (Terms of Service) TrueCount Services Last Updated: June 18, 2026
These Terms and Conditions (“Terms”) govern your access to and use of the website truecountservices.com (the “Site”) and any related content, forms, or communications provided by TrueCount Services (“we,” “us,” or “Company”), operated by Danielle Williams. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.
1. Scope and Relationship to Other Agreements The Site is provided for informational purposes only. All bookkeeping, payroll setup, ongoing payroll, clean-up, and related financial support services (“Services”) are provided exclusively under a separate signed Engagement Letter between you (“Client”) and TrueCount Services.
These Terms govern general website use. In the event of any conflict between these Terms and a signed Engagement Letter, the Engagement Letter shall control with respect to the Services provided. The Engagement Letter is expressly incorporated by reference herein where applicable.
You also acknowledge and agree to our Privacy Policy (available at https://truecountservices.com/privacy-policy), which is incorporated by reference.
2. Services and Disclaimers We provide bookkeeping, payroll, and financial support services to small businesses located in the United States only. We do not provide services to clients outside the USA.
All Services are performed as an independent contractor under the terms of the signed Engagement Letter. Consultations are introductory and general in nature; no formal advice is provided until a signed Engagement Letter is in place.
3. No Warranties on Financial Outcomes: We make no guarantees regarding tax outcomes, financial performance, profitability, cash flow, compliance results, or any other specific business outcomes. All reports and work product are based solely on information provided by the Client. We do not perform audits, reviews, or provide legal, tax, or financial advisory services (such services require licensed professionals).
4. Free Resources and Educational Content The Site may provide free resources, guides, checklists, eBooks, articles, blog content, or other educational materials. These materials are provided for informational and educational purposes only and do not constitute accounting, tax, legal, financial, or professional advice. Accessing or downloading such materials does not create a client relationship with TrueCount Services.
5. User Responsibilities and Prohibited Activities You agree to use the Site only for lawful purposes. You shall not:
Attempt to gain unauthorized access to any portion of the Site or related systems.
Use any robot, scraper, or automated means to access the Site.
Transmit spam, viruses, or harmful code.
Interfere with the Site’s operation.
You are responsible for the accuracy and completeness of all information you submit via the Site (including through Jotform) or otherwise.
6. Payments and Billing All payments for Services are governed by the signed Engagement Letter. In alignment with the Engagement Letter:
Payments are due upon receipt (or as specified).
We accept major credit cards and ACH.
Late payments accrue interest at 1.5% per month (or the maximum rate permitted by Tennessee law, whichever is less).
We may suspend Services if any invoice remains unpaid more than fifteen (15) days after the due date.
All fees are non-refundable unless expressly stated otherwise in the Engagement Letter.
7. Intellectual Property All content on the Site (text, logos, reports, templates, etc.) is owned by or licensed to TrueCount Services and protected by U.S. copyright and trademark laws. Limited personal, non-commercial use is permitted. No other reproduction, distribution, or modification is allowed without prior written consent.
8. Limitation of Liability To the fullest extent permitted by law, our total aggregate liability arising out of or related to these Terms, the Site, or the Services (regardless of the form of action) shall not exceed the total fees actually paid by you in the twelve (12) months preceding the claim.
We are not liable for any indirect, incidental, consequential, punitive, or exemplary damages, including loss of profits, data, or business opportunities. This limitation does not apply to claims based on our gross negligence, willful misconduct, or fraud. No claims may be brought more than one (1) year after the last Services.
9. Indemnification You agree to indemnify, defend, and hold harmless TrueCount Services, Danielle Williams, and our officers, employees, and agents from any claims, losses, or expenses (including attorneys’ fees) arising from your breach of these Terms, inaccurate information provided, or your use of the Site/Services (except to the extent caused by our gross negligence or willful misconduct).
10. Termination and Cancellation You may cancel Services in accordance with the Engagement Letter (generally thirty (30) days’ written notice). We reserve the right to terminate access to the Site or Services for violation of these Terms or nonpayment.
11. Force Majeure Neither party shall be liable for delays or failures to perform due to events beyond reasonable control, including acts of God, pandemics, internet outages, bank system failures, or other force majeure events.
12. Dispute Resolution and Governing Law Any dispute arising out of or relating to these Terms or the Services shall first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the parties shall submit to non-binding mediation in Wilson County, Tennessee.
If mediation fails, exclusive jurisdiction and venue shall be in the state or federal courts located in Wilson County, Tennessee. These Terms are governed by the laws of the State of Tennessee, without regard to conflict of laws principles. The prevailing party in any action shall be entitled to recover reasonable attorneys’ fees and costs.
13. Changes to Terms We may update these Terms periodically. The “Last Updated” date will reflect changes. Continued use of the Site after updates constitutes acceptance of the revised Terms.
14. Miscellaneous
Electronic Communications and Signatures: You consent to electronic communications and agree that electronic signatures are binding.
Severability: If any provision is held invalid, the remainder remains in effect.
Entire Agreement: These Terms, together with the Privacy Policy and any signed Engagement Letter, constitute the entire agreement.
No International Services: We do not provide Services or accept clients outside the United States.
